Welcome to Dotup ICANN Accreditation Consultancy.

 

These Terms and Conditions ("Terms") govern your use of our website, services, and any agreements entered into with us. By accessing our website or engaging with our services, you agree to abide by these Terms.

1. Definitions

  • "Dotup" refers to Dotup ICANN Accreditation Consulting, including its proprietors, employees, and affiliates.

  • "Client" refers to any individual, business, or entity engaging in services provided by Dotup.

  • "Services" refers to ICANN accreditation consultancy, EPP software guidance, and related services offered by Dotup.

  • "Website" refers to www.dotuptech.com and associated domains.

2. Scope of Services

  • Dotup provides consultancy services to assist clients in obtaining ICANN accreditation, setting up registrar operations, and related technical and business guidance.

  • Dotup acts as an independent consultant and does not guarantee ICANN accreditation, which depends on ICANN’s evaluation and the merits of the client’s application.

  • Dotup’s services are limited to gTLD domain consulting unless otherwise agreed upon in writing. Services related to ccTLDs or additional requirements are outside the scope of this agreement and may require separate contracts.

3. Client Responsibilities

  • The client must provide accurate, complete, and timely documentation required for ICANN accreditation or other agreed-upon services.

  • The client is responsible for all fees payable to ICANN, registries, or third-party service providers.

  • The client must comply with all legal, regulatory, and contractual obligations associated with ICANN accreditation.

4. Fees and Payment

  • All fees are outlined in the service agreement and are payable as specified. Late payments may result in service suspension.

  • Additional charges may apply for optional services or out-of-scope requests.

  • Clients are responsible for any taxes, levies, or charges applicable to the services.

5. Refund Policy

  • Retainer Fees: Retainer fees paid for ICANN accreditation consultancy are non-refundable, as they cover preliminary consulting, application preparation, and submission assistance.

  • Performance-Based Fees: Fees tied to the successful completion of ICANN accreditation are only payable upon achieving the specified milestone and are non-refundable once paid.

  • Optional Services: Payments for optional services such as RDE setup, gTLD onboarding, or compliance consulting are non-refundable once initiated.

  • Refunds will not be granted for incomplete or unsuccessful accreditation due to client delays, inaccurate information, or ICANN’s denial of the application.

  • In exceptional cases, refunds may be considered at Dotup’s sole discretion, subject to a deduction for work already performed.

6. Confidentiality

  • Both parties agree to treat all non-public information disclosed during the engagement as confidential and use it solely for the purpose of fulfilling obligations under this agreement.

  • Confidentiality obligations will remain in effect for five (5) years after the conclusion of the services.

7. Limitation of Liability

  • Dotup’s liability is limited to the amount of fees paid by the client for the specific services resulting in the claim.

  • Dotup is not liable for indirect, incidental, or consequential damages, including but not limited to loss of revenue, business interruption, or reputational harm.

8. Intellectual Property

  • All intellectual property provided by Dotup, including templates, methodologies, and software recommendations, remains the property of Dotup unless explicitly transferred in writing.

  • Clients may not reproduce, distribute, or exploit Dotup’s intellectual property without prior consent.

9. Termination

  • Either party may terminate the agreement with 30 days’ written notice.

  • Dotup reserves the right to terminate the agreement immediately if the client breaches these Terms, provides false information, or engages in unlawful activity.

  • Upon termination, the client must settle any outstanding fees, and Dotup will cease all ongoing services.

10. Website Usage

  • The website and its contents are for informational purposes only and do not constitute legal or professional advice.

  • Unauthorized use of the website, including hacking or data extraction, is strictly prohibited.

11. Governing Law and Jurisdiction

  • These Terms are governed by the laws of Ontario, Canada. Any disputes will be resolved in the courts of Ontario, Canada, unless otherwise agreed upon.

12. Amendments

  • Dotup reserves the right to modify these Terms at any time. Updated Terms will be posted on the website and effective immediately upon posting.
